Capital Increase by Way of Option Notice Filed with the Registry of Companies in Udine and Information Document Filed with CONSOB - Eurotech

Amaro (Udine), January 29, 2026 – Eurotech S.p.A. (“Eurotech” or the “Company”) announces that today: (i) the notice of option offer relating to the paid-up and divisible share capital increase, to be offered as an option to those entitled pursuant to Article 2441, paragraph 1, of the Italian Civil Code, as resolved by the Board of Directors on January 27, 2026 (the “Share Capital Increase”), was filed with the Udine Companies Register; (ii) it has filed with CONSOB, in accordance with the procedures laid down by current legislation, the information document relating to the Capital Increase prepared by the Company pursuant to Article 1, paragraph 4, letter d-ter), and Article 1, paragraph 5, letter b-bis) and Annex IX of Regulation (EU) 2017/1129, as last amended by Regulation (EU) 2024/2809 of the European Parliament and of the Council. The aforementioned documents are also available at the Company’s registered office in Amaro (UD), Via Fratelli Solari 3/A, as well as on Eurotech’s website www.eurotech.com (“Capital Increase”) and on the 1INFO storage mechanism at www.1info.it, together with the form for subscribing to the option offer of newly issued shares resulting from the Capital Increase.
