Amaro (UD), 30 September 2026 – Eurotech S.p.A. (Euronext STAR Milan: ETH), a multinational company specialising in the development of Edge AI solutions and edge computing systems, announces that it has signed today a binding agreement to acquire the business unit of VEM Solutions S.p.A., which provides engineering, industrialisation and manufacturing of electronic boards and systems. VEM Solutions, headquartered in Venaria Reale (Turin), specialises in the development and sale of devices for connected mobility and the Internet of Things (IoT).
The acquisition, consistent with the objectives of the Eurotech neXt business plan presented on 27 January, will strengthen the Group’s industrial capabilities and its control over key stages of the value chain, enabling Eurotech to manage critical production processes and technologies more directly and accelerate the industrialisation of new solutions.
At the same time, the Group intends to ensure business continuity for customers and invest in the development of the acquired business, which will benefit from Eurotech’s technological expertise, resources and international presence to drive further growth across both existing and new clients.
The integration of advanced technologies, software, cybersecurity capabilities, and engineering and industrial expertise will further strengthen the Group’s ability to deliver integrated Made in Europe solutions for mission-critical applications and reinforce its position in strategic markets.
Following completion of the acquisition, Eurotech expects a gradual improvement in industrial efficiency through closer coordination of industrialisation and manufacturing processes and the realisation of operating synergies. The related benefits are expected to materialise progressively, in line with programme lifecycles and the execution of the existing order backlog.

The closing of the transaction is expected in October 2026, subject to the satisfaction of customary closing conditions set out in the agreement.
Scope of the business being acquired. The business being acquired includes the Venaria Reale (Turin) facility, the related production equipment and systems, inventories of materials and components, a workforce of approximately twenty employees, know-how, intellectual property, and the contractual relationships with customers and suppliers falling within the scope of the business.
The capabilities being acquired are complementary to those already existing within the Group and will contribute to strengthening its industrial capabilities, process quality, operational flexibility and supply chain resilience.
As at 31 December 2025, the business generated revenues of approximately Euro 4 million.
The acquisition of the business does not affect the forecasts disclosed by Eurotech in the press release issued on 27 January 2026.
Structure of the acquisition. The transaction will be carried out through the acquisition by Eurotech S.p.A. of the entire share capital of the NewCo, “Eurotech Manufacturing Services S.r.l.”, to which VEM Solutions will first transfer the business. The agreement relating to the acquisition of the business provides for customary representations and warranties for transactions of this nature, as well as non-solicitation and non-compete undertakings by VEM Solutions and its controlling shareholder, Domenico Petrone, who will join the Board of Directors of the NewCo upon closing in a non-executive capacity.
The total consideration is expected to range from approximately Euro 1.2 million to approximately Euro 1.6 million. It comprises a component payable at closing, subject to customary adjustments based on the NewCo’s net financial position and net working capital as at the closing date, and a component relating to the transferred inventory, the value of which will be agreed between the parties after closing and paid in up to 24 monthly instalments. An earn-out in favour of VEM Solutions is also provided for, calculated based on the NewCo’s average EBITDA for the 2027–2029 financial years. All amounts will be paid in cash, using available cash resources and/or existing credit facilities.
Following closing, Eurotech will begin integrating the acquired business, ensuring full continuity of operations and production.
